Welcome to ONEORVE CONNECT ("CONNECT").


These Terms of Service ("Terms") govern your access to and use of CONNECT, including its website, applications, features, communities, networking functions, communications tools, content and related services (collectively, the "Services").


CONNECT is operated by ONEORVE & CO (PTE.) LTD ("ONEORVE", "we", "us" or "our"), a company incorporated in Singapore.

By accessing or using CONNECT, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use CONNECT.


If you are using CONNECT on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.


1. About CONNECT


ONEORVE CONNECT is a professional networking and collaboration platform designed to help individuals and organisations:

  1. Build professional connections
  2. Discover professionals and areas of expertise
  3. Exchange knowledge and ideas
  4. Participate in communities and groups
  5. Discover professional opportunities
  6. Collaborate on projects and initiatives
  7. Share professional content and resources
  8. Develop meaningful professional relationships


CONNECT is part of the broader ONEORVE ecosystem.


CONNECT is intended to facilitate connections and collaboration. ONEORVE does not guarantee that any particular connection, opportunity, project, employment, engagement, business relationship or outcome will result from using the Services.


2. Eligibility


You must be legally capable of entering into a binding agreement to use CONNECT.


By creating an account or using the Services, you confirm that:

  1. The information you provide is accurate and not misleading.
  2. You will maintain the accuracy of your account information.
  3. You will comply with these Terms and applicable laws.
  4. You are not prohibited from using the Services under applicable law.


If CONNECT is made available to individuals below a particular age in the future, additional requirements may apply.

Where applicable law requires parental or guardian consent, you must obtain that consent before using the relevant Services.


3. Creating an Account


Certain CONNECT features may require you to create an account.


You agree to:

  1. Provide accurate and complete information.
  2. Keep your account information up to date.
  3. Maintain the confidentiality of your login credentials.
  4. Take reasonable steps to prevent unauthorised access.
  5. Notify us promptly if you believe your account has been compromised.


You are responsible for activities carried out through your account unless the activity resulted from circumstances outside your reasonable control and you have notified us promptly.


You must not create an account using another person's identity or impersonate another person or organisation.


4. Professional Profiles


CONNECT allows users to create professional profiles.


You are responsible for the information contained in your profile.


You must not:

  1. Falsely represent your identity.
  2. Misrepresent your qualifications, experience or professional affiliations.
  3. Claim credentials that you do not possess.
  4. Falsely represent an association with an organisation.
  5. Use another person's photograph or identity without appropriate authority.
  6. Deliberately provide materially false or misleading professional information.


ONEORVE may provide profile verification or professional identity features from time to time.


Any verification provided by CONNECT does not constitute an endorsement, guarantee, certification or warranty of a person's qualifications, character, capabilities or professional performance unless expressly stated otherwise.


5. Your Responsibility for Information


You are responsible for information that you submit, publish, upload, communicate or otherwise make available through CONNECT.


You agree that information you provide should be:

  1. Accurate to the best of your knowledge
  2. Relevant to the context in which it is provided
  3. Lawful
  4. Respectful
  5. Not intentionally misleading
  6. Not infringing the rights of others


You should not publish confidential information, trade secrets, personal information belonging to others or other information that you are not authorised to disclose.


6. User-Generated Content


CONNECT may allow you to create, upload, post, transmit or otherwise provide content, including:

  1. Text
  2. Articles
  3. Posts
  4. Comments
  5. Photographs
  6. Videos
  7. Documents
  8. Professional materials
  9. Links
  10. Messages
  11. Community content
  12. Event-related content
  13. Other materials


Collectively, this is referred to as "User Content".


You retain ownership of User Content that you lawfully own.


However, by submitting User Content to CONNECT, you grant ONEORVE a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, distribute and otherwise process that User Content to the extent reasonably necessary to operate, provide, maintain, secure and improve the Services.


This licence continues for as long as reasonably necessary for those purposes and may continue thereafter where required for legitimate legal, security, backup or archival purposes.


We do not acquire ownership of your User Content merely because you submit it to CONNECT.


7. Public and Shared Content


Some CONNECT features are designed to make information visible to other members or the public.


Before publishing information, you should consider:

  1. Who can see it
  2. Whether it contains personal information
  3. Whether it contains confidential information
  4. Whether you have permission to publish it
  5. Whether you are comfortable with it being copied or shared


Content voluntarily made public may be copied, quoted, linked to or redistributed by others.


ONEORVE cannot guarantee that information voluntarily published publicly will remain exclusively within CONNECT.


8. Professional Networking


CONNECT may allow users to:

  1. Send connection requests
  2. Accept or reject connections
  3. Follow or interact with other users
  4. Join professional communities
  5. Communicate with other members
  6. Discover professionals
  7. Recommend or share content


You are responsible for your interactions with other users.


ONEORVE does not independently verify every statement, qualification, claim or representation made by users.


You should exercise appropriate professional judgement when relying on information provided by another user.


9. Messages and Communications


CONNECT may provide direct messaging, group communication or other communication functions.


You agree to use these functions responsibly.


You must not use CONNECT messaging features to:

  1. Harass or threaten others
  2. Send spam
  3. Conduct scams or fraudulent activity
  4. Distribute malware
  5. Send unlawful or abusive material
  6. Collect personal information without appropriate authority
  7. Repeatedly contact someone who has reasonably indicated that they do not wish to communicate with you


Messages may be processed or retained as reasonably necessary to provide, secure and administer the Services and to investigate violations of these Terms or applicable law.


10. Communities and Groups


CONNECT may allow users or organisations to create or participate in communities, groups or professional networks.

Community administrators may establish additional rules applicable to their communities.


You agree to comply with both:

  1. These Terms; and
  2. Reasonable rules established by the relevant community or group.


Community administrators may moderate content or participation within their communities.


ONEORVE may intervene where necessary to address serious violations, security concerns, unlawful activity or risks to the CONNECT platform.


11. Events and Opportunities


CONNECT may display or facilitate professional events, projects, employment opportunities, collaborations, volunteering opportunities, training programmes or other activities.


Information about such opportunities may originate from users, organisations, partners or third parties.


Unless expressly stated otherwise, ONEORVE does not guarantee:

  1. The accuracy of an opportunity listing
  2. The legitimacy of a third-party organisation
  3. The availability of an opportunity
  4. Selection or acceptance
  5. Employment
  6. Payment
  7. Project completion
  8. Professional outcomes


You are responsible for conducting your own due diligence before entering into an arrangement with another person or organisation.


12. Acceptable Use


You agree to use CONNECT lawfully and responsibly.


You must not use CONNECT to:


Fraud and Misrepresentation

  1. Impersonate another person or organisation.
  2. Create fake professional identities.
  3. Misrepresent qualifications or credentials.
  4. Conduct fraudulent schemes.
  5. Mislead other users for financial or personal gain.


Harassment and Abuse

  1. Threaten, intimidate or harass others.
  2. Engage in targeted abuse.
  3. Encourage violence against individuals or groups.
  4. Publish malicious personal information.


Unlawful Activities

  1. Violate applicable laws or regulations.
  2. Facilitate criminal activity.
  3. Distribute unlawful content.
  4. Infringe intellectual property rights.
  5. Facilitate fraud or financial crime.


Platform Abuse

  1. Attempt to gain unauthorised access to accounts or systems.
  2. Circumvent security measures.
  3. Probe, scan or test the vulnerability of CONNECT without authorisation.
  4. Introduce malware or malicious code.
  5. Interfere with the operation of the Services.
  6. Conduct denial-of-service attacks.
  7. Scrape or systematically extract data except where expressly permitted by CONNECT.
  8. Use automated systems to access CONNECT in a manner that places unreasonable load on the Services.


Spam and Unsolicited Communications

  1. Send bulk unsolicited messages.
  2. Operate spam campaigns.
  3. Use CONNECT primarily for unsolicited advertising.
  4. Repeatedly contact users who have opted out of communications.


Harmful or Inappropriate Content

You must not upload or distribute content that is unlawful, fraudulent, defamatory, threatening, excessively abusive, sexually exploitative, or otherwise prohibited by applicable law.


ONEORVE may remove content or restrict access where reasonably necessary to protect users, the platform or others.


13. Intellectual Property


The CONNECT platform and its underlying technology are owned by or licensed to ONEORVE and are protected by applicable intellectual property laws.


Except for User Content and third-party materials, CONNECT may include:

  1. Software
  2. Website designs
  3. Interface elements
  4. Logos
  5. Branding
  6. Graphics
  7. Text
  8. Databases
  9. Documentation
  10. Platform architecture
  11. Other proprietary materials


You may not copy, modify, reproduce, distribute, sell, licence, reverse engineer or commercially exploit CONNECT or its proprietary materials except where expressly permitted by law or authorised by ONEORVE.


ONEORVE, ONEORVE CONNECT, associated logos, names and branding are trademarks or identifiers of ONEORVE or its respective rights holders.


Nothing in these Terms grants you ownership of any ONEORVE intellectual property.


14. Feedback


If you provide suggestions, ideas, comments or feedback regarding CONNECT, you grant ONEORVE the right to use that feedback without restriction or compensation to you.


This does not transfer ownership of your independently developed intellectual property.


15. Third-Party Services


CONNECT may integrate with or contain links to third-party websites, applications, services or technologies.


Examples may include:

  1. Authentication providers
  2. Cloud services
  3. Analytics providers
  4. Communication services
  5. Payment services
  6. Professional platforms
  7. External websites


Third-party services are governed by their own terms and policies.

ONEORVE is not responsible for the availability, accuracy, security, content or practices of third-party services that we do not control.


16. Privacy


Your use of CONNECT is also subject to our Privacy Policy, which explains how we collect, use, disclose, protect and retain personal data.


The Privacy Policy forms part of these Terms.


Where there is a conflict between these Terms and the Privacy Policy concerning personal data processing, the Privacy Policy will apply to that specific matter to the extent required by applicable data protection law.


17. Platform Availability


We aim to keep CONNECT available and reliable, but we do not guarantee that the Services will:

  1. Always be available
  2. Be uninterrupted
  3. Be error-free
  4. Be secure from every possible threat
  5. Be compatible with every device
  6. Remain unchanged
  7. Meet every user's requirements


We may temporarily suspend or restrict access to CONNECT for:

  1. Maintenance
  2. Upgrades
  3. Security measures
  4. Technical problems
  5. Investigations
  6. Emergencies
  7. Legal or regulatory requirements


Where reasonably practicable, we will seek to provide advance notice of planned significant interruptions.


18. Changes to CONNECT


ONEORVE may modify, add, suspend or discontinue features of CONNECT from time to time.


This may include:

  1. Adding new functionality
  2. Removing functionality
  3. Changing user interfaces
  4. Changing community features
  5. Introducing or discontinuing integrations
  6. Modifying limits or usage requirements


We will make reasonable efforts to ensure that material changes do not unfairly prejudice users.


19. Account Suspension and Termination


We may suspend, restrict or terminate your account where reasonably necessary if:

  1. You breach these Terms.
  2. You violate applicable law.
  3. You provide materially false information.
  4. Your account presents a security risk.
  5. Your activities threaten the integrity of CONNECT.
  6. You engage in fraud, abuse or harassment.
  7. We are required to do so by law.
  8. Your continued use creates significant risk to ONEORVE or other users.


Where appropriate and reasonably practicable, we may provide notice and an opportunity to address the relevant issue before termination.


In serious cases, including fraud, abuse, security threats or unlawful activity, immediate suspension may be necessary.


20. Voluntary Account Closure


You may stop using CONNECT at any time.


Where account deletion functionality is available, you may use that functionality to request account closure.


You may also contact ONEORVE to request closure.


Certain information may be retained after account closure where reasonably necessary for:

  1. Legal compliance
  2. Security
  3. Fraud prevention
  4. Dispute resolution
  5. Record keeping
  6. Enforcement of rights
  7. Backup and disaster recovery
  8. Other legitimate purposes permitted by law

21. Disclaimers


CONNECT is provided on an "as available" basis to the extent permitted by applicable law.


To the maximum extent permitted by law, ONEORVE does not warrant that:

  1. Information provided by users is accurate or complete.
  2. Users are who they claim to be.
  3. Professional qualifications or credentials are genuine unless expressly verified.
  4. Any user will respond to a connection request.
  5. Any opportunity will result in employment, business, investment or other outcomes.
  6. User-generated content is accurate, reliable or suitable for your purposes.
  7. CONNECT will always operate without interruption or errors.


You are responsible for evaluating information and exercising appropriate judgement when interacting with other users.


22. No Professional Advice


Information available through CONNECT is provided for general informational and networking purposes.


Unless expressly stated otherwise, nothing on CONNECT constitutes:

  1. Legal advice
  2. Financial advice
  3. Investment advice
  4. Medical advice
  5. Tax advice
  6. Professional certification
  7. Recruitment advice
  8. Business advice


You should obtain appropriate professional advice where necessary.


23. Limitation of Liability


To the maximum extent permitted by Singapore law, ONEORVE will not be liable for indirect, incidental, special, consequential or punitive losses arising from or related to your use of CONNECT.


This may include losses arising from:

  1. Loss of profits
  2. Loss of business opportunities
  3. Loss of data
  4. Loss of reputation
  5. Loss of goodwill
  6. Business interruption
  7. Interactions with other users
  8. Reliance on user-generated information
  9. Third-party services


Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.


24. Indemnity


To the extent permitted by applicable law, you agree to indemnify and hold harmless ONEORVE, its officers, employees, contractors and representatives from claims, losses, liabilities, damages and reasonable expenses arising from:

  1. Your breach of these Terms.
  2. Your unlawful use of CONNECT.
  3. Your User Content.
  4. Your infringement of another person's rights.
  5. Your misuse of the Services.
  6. Your interactions or transactions with other users or third parties.


This provision does not apply to the extent that the relevant loss resulted from ONEORVE's own negligence, wilful misconduct or other circumstances where indemnification cannot lawfully be required.


25. Reporting Violations


If you believe that a user, account, post, message or other activity violates these Terms, you may report it to ONEORVE.


Reports should include sufficient information for us to understand the concern.


Where available, CONNECT may provide reporting tools directly within the platform.


ONEORVE may investigate reports and take action where appropriate.

We do not guarantee that every report will result in action or disclosure of the outcome to the reporting party.


26. Copyright Complaints


If you believe that content available through CONNECT infringes your copyright or other intellectual property rights, you may contact us with:

  1. Your name and contact information
  2. Identification of the protected work
  3. Identification of the allegedly infringing material
  4. Information reasonably sufficient to locate the material
  5. An explanation of the alleged infringement
  6. A statement confirming that the information provided is accurate


We may remove or restrict access to content where appropriate.


27. Governing Law


These Terms are governed by the laws of the Republic of Singapore.

Subject to any mandatory rights or remedies available under applicable law, the courts of Singapore shall have jurisdiction over disputes arising from or relating to these Terms or your use of CONNECT.


28. Changes to These Terms


We may update these Terms from time to time.


When we make material changes, we may notify users through CONNECT, email or another appropriate communication method.


The updated Terms will state their effective date.


Your continued use of CONNECT after the effective date of the updated Terms constitutes your acceptance of the revised Terms, subject to any additional consent requirements imposed by applicable law.


If you do not agree with the updated Terms, you should stop using CONNECT and close your account.


29. Severability


If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable.


The remaining provisions will continue to apply.


30. No Waiver


If ONEORVE does not immediately enforce a provision of these Terms, this does not constitute a waiver of our right to enforce that provision later.


31. Entire Agreement


These Terms, together with the CONNECT Privacy Policy and any additional terms expressly applicable to specific CONNECT features, constitute the agreement between you and ONEORVE concerning your use of CONNECT.


Where additional terms apply to a particular service or feature, those terms will be made available to you before or when you use the relevant service.

Acceptance
